All information and discussions are held in strict confidence. The privacy of our client is always a priority of the PS&A team. PS&A does not share, sell or otherwise compromise the privacy of information provided through this website. If you are interested in one of the practices we have listed for sale, or would like preliminary information as detailed in this section or more information than what is already provided on this site, you are required to sign a Confidentiality Agreement with our company. You may do so by agreeing to the terms of this document.

Be advised that disclosure of any information is considered confidential and includes, but is not limited to, practice locations, financial information, sellers’ names, staff data of the practices, patient information, etc. Any Information released to anyone, including but not limited to the sellers’ constituents, patients of the practices, colleagues, or any persons not directly involved in your prospective acquisition of the subject business, may result in damages for which you may be held liable as stated and agreed upon in this "Confidentiality Agreement". Information provided on this website is used only to facilitate client services. PS&A makes no claims to the validity and authenticity of the facts and figures provided on this website. All users of this site agree and acknowledge that they have been advised that PS&A has not audited this information and as such cannot express an opinion on said information. By using this website you agree to hold PS&A, the Brokers and the employees of PS&A harmless from any and all liabilities and defend against losses, expenses, damages, acts or failures to act, attorney fees and court costs that may arise as a result of any use of the information contained herein and its user not completing his/her own verification, audit or due diligence.

By agreeing below you acknowledge that any and all information related to a practice listed for sale is confidential, proprietary to, and legally protectable by the owner (seller) and PS&A. You acknowledge that we have or shortly will disclose certain Information (whether seller’s name, office address, staff census, prior income of the business, office hours, etc., collectively “Information”) which we demand that you hold in strict confidence. You agree that such Information, regardless of when it is provided to you, will not disclosed, disseminated, copied or released to any third parties, except as specifically authorized in writing by PS&A.

If we terminate our discussions regarding your acquisition of a practice, or at any other time requested, you will return to us any and all documents received relating to the Information in your possession.

You acknowledge being aware that the unauthorized disclosure of Information may be highly prejudicial to the interests of the seller, an invasion of privacy, and an improper disclosure of trade secrets, as the term is defined in the California Statutes.

You agree that the foregoing restrictions shall be interpreted in the broadest possible manner to provide maximum protection to us. You agree that monetary damages for breach of any provision may be insufficient or not capable of determination and, as such, the terms and conditions herein shall be subject to injunctive relief. You agree to indemnify, defend and hold the seller and PS&A harmless from and against all losses, liabilities, damages, costs, expenses, etc., which may occur by reason of any breach by you of any covenants contained herein. In the event any action is instituted with respect to this agreement, you consent to the venue and jurisdiction of Los Angeles County, Northwest District.

Should any litigation be commenced regarding this agreement, or the rights and duties of either in relation thereto, the prevailing party in such litigation shall be entitled, in addition to such other relief as may be granted, to reasonable attorney fees and costs. This Agreement shall be binding on and shall inure to the benefit of the heirs, executors, administrators, successors, and assigns of the parties hereto.
