By agreeing below you acknowledge that any and all information related to a practice listed for sale is confidential, proprietary to, and legally protectable by the owner (seller) and PS&A. You acknowledge that we have or shortly will disclose certain Information (whether seller’s name, office address, staff census, prior income of the business, office hours, etc., collectively “Information”) which we demand that you hold in strict confidence. You agree that such Information, regardless of when it is provided to you, will not disclosed, disseminated, copied or released to any third parties, except as specifically authorized in writing by PS&A.
If we terminate our discussions regarding your acquisition of a practice, or at any other time requested, you will return to us any and all documents received relating to the Information in your possession.
You acknowledge being aware that the unauthorized disclosure of Information may be highly prejudicial to the interests of the seller, an invasion of privacy, and an improper disclosure of trade secrets, as the term is defined in the California Statutes.
You agree that the foregoing restrictions shall be interpreted in the broadest possible manner to provide maximum protection to us. You agree that monetary damages for breach of any provision may be insufficient or not capable of determination and, as such, the terms and conditions herein shall be subject to injunctive relief. You agree to indemnify, defend and hold the seller and PS&A harmless from and against all losses, liabilities, damages, costs, expenses, etc., which may occur by reason of any breach by you of any covenants contained herein. In the event any action is instituted with respect to this agreement, you consent to the venue and jurisdiction of Los Angeles County, Northwest District.
Should any litigation be commenced regarding this agreement, or the rights and duties of either in relation thereto, the prevailing party in such litigation shall be entitled, in addition to such other relief as may be granted, to reasonable attorney fees and costs. This Agreement shall be binding on and shall inure to the benefit of the heirs, executors, administrators, successors, and assigns of the parties hereto.
